To determine the priority for originating a hybrid bond transaction, we evaluate the issuers based on their financial health, profitability, and potential demand for capital to support their respective energy-transition operations. 1. **Entity B (ENI S.p.A.):** ENI demonstrates the strongest financial performance among the three. In 2022, it achieved a massive profit of 13.96 billion EUR, a significant turnaround from previous years. Its operating cash flow is very robust (17.46 billion EUR), and its equity position has expanded significantly (55.23 billion EUR). As a major energy player, ENI is well-positioned to use hybrid instruments to optimize its capital structure while maintaining its investment-grade profile and aggressive energy transition investments. Its ability to absorb the cost of hybrid instruments is the highest. 2. **Entity C (ENEL - S.p.A.):** ENEL is a global utility giant. While its 2022 profitability was impacted by market volatility and discontinued operations (profit of 2.92 billion EUR), it remains a capital-intensive business with a massive asset base (219.62 billion EUR). ENEL has significant debt obligations, and hybrid instruments are a standard tool for large-scale utilities to manage leverage ratios while funding renewable energy projects. It is a reliable, high-volume issuer for banks. 3. **Entity A (TenneT Holding B.V.):** TenneT is a transmission system operator (TSO) focused on grid infrastructure. While critical for the energy transition, it currently reports losses (a 879 million EUR loss in 2022) and has a negative cash flow from operating activities relative to its massive capital expenditure requirements.
